Special Terms - Dropship

Where you and a Channel agree that you will fulfill Orders using dropshipping as your nominated fulfilment method, then the following special terms replace clause 5 of the MSAA in full in respect of those Orders.

Fulfillment by dropship method

5.1 You agree to comply with the Channel’s instructions and this clause in respect of fulfilment of Orders. To the extent that there is any inconsistency between this clause and a Seller Contract, the Seller Contract prevails.

5.2 Where no instructions are issued to you by the Channel in respect of the following matters, you agree to meet the following standards:

1. you must ship all Orders within no more than three (3) days from the date of the Order;
2. you must immediately notify the Channel if you are unable to fulfil any Order notified to you by the Channel; and
3. where subclause (b) applies, you agree to use commercially reasonable efforts to source additional inventory to fulfil the Order as expeditiously as possible (with any additional costs requiring the prior written consent of the Channel).
   
   

5.3 You are the de facto owner of all Products and title and risk of loss shall remain with you until the Products have left your shipping dock.

5.4 The Channel will retain the right to set or change prices or fees charged to buyers, without input or notification to you.

5.5 You must ensure that any material information that may affect a buyer’s decision to purchase a Product, such as product origin, condition, or potential hazards is disclosed in advance to the relevant Channel.
